1. Terms

By accessing Scored ("Platform"), you are agreeing to be bound by these Terms and Conditions of Use and agree that you are responsible for the agreement with any applicable local laws. If you disagree with any of these terms, you are prohibited from accessing the Platform. The materials contained on the Platform are protected by copyright and trade mark law.

2. Use License

Permission is granted to temporarily access and view the materials on the Platform for personal, non-commercial transitory viewing only. This is the grant of a license, not a transfer of title, and under this license you may not:

• Use the materials for any commercial purpose or for any public display;
• Attempt to reverse engineer any software contained on the Platform;
• Remove any copyright or other proprietary notations from the materials;
• Transfer the materials to another person or "mirror" the materials on any other server;
• Use any content from the Platform to train, fine-tune, or otherwise develop any machine learning model, artificial intelligence system, or automated data processing tool, whether for commercial or non-commercial purposes;
• Scrape, crawl, or use automated means to collect content or data from the Platform for any purpose, including but not limited to dataset creation, text mining, or data analysis;
• Use the Platform in any way that could disable, overburden, damage, or impair the Platform or interfere with any other party's use of the Platform.

The Platform reserves the right to terminate your access immediately and without notice upon violation of any of these restrictions. Upon termination, your viewing right will also be terminated and you must destroy any downloaded materials in your possession whether in printed or electronic format. The Platform reserves the right to seek all remedies available at law and in equity for violations of these restrictions.

3. User-Generated Content

The Platform allows users to submit, post, and share content including text, images, links, and other materials ("User Content"). You retain ownership of any intellectual property rights you hold in your User Content. However, by submitting User Content to the Platform, you grant the Platform a perpetual, irrevocable, worldwide, royalty-free, non-exclusive license to use, reproduce, modify, adapt, publish, distribute, publicly display, and sublicense such User Content in any media or format, for any purpose, including but not limited to operating, promoting, and improving the Platform.

You represent and warrant that: (a) you own or have the necessary rights to submit your User Content and to grant the license above; (b) your User Content does not infringe, misappropriate, or violate any third-party intellectual property rights, privacy rights, or any applicable law; and (c) your User Content complies with these Terms and our Content Policy.

The Platform does not endorse, support, represent, or guarantee the accuracy, truthfulness, or reliability of any User Content. You acknowledge that any reliance on User Content is at your own risk. The Platform reserves the right, but assumes no obligation, to remove or refuse to display User Content at its sole discretion and without notice.

You acknowledge and agree that the Platform acts as a passive conduit for User Content and assumes no liability for User Content posted by users. To the fullest extent permitted by law, you agree to indemnify, defend, and hold harmless the Platform, its officers, directors, employees, agents, and successors from and against any and all claims, damages, losses, liabilities, costs, and expenses (including reasonable attorneys' fees) arising out of or relating to your User Content or your breach of any representation or warranty in this section.

4. Disclaimer

All materials on the Platform, including User Content, are provided "as is" and "as available" without warranty of any kind, express or implied. To the fullest extent permitted by applicable law, the Platform disclaims all warranties, including but not limited to implied warranties of merchantability, fitness for a particular purpose, title, and non-infringement. The Platform does not warrant that the Platform will be uninterrupted, error-free, secure, or free of viruses or other harmful components. The Platform makes no representations concerning the accuracy, reliability, completeness, or timeliness of any materials on the Platform or any sites linked to the Platform.

5. Limitations

To the fullest extent permitted by applicable law, in no event shall the Platform, its officers, directors, employees, agents, suppliers, or licensors be liable for any indirect, incidental, special, consequential, punitive, or exemplary damages whatsoever, including but not limited to damages for loss of profits, goodwill, use, data, or other intangible losses, arising out of or in connection with your use of or inability to use the Platform, even if the Platform has been advised of the possibility of such damages. In no event shall the Platform's total cumulative liability to you for any and all claims arising out of or relating to these Terms or the Platform exceed the greater of (a) the total amount you paid to the Platform in the twelve (12) months preceding the claim, or (b) one hundred U.S. dollars ($100.00). Some jurisdictions do not allow the exclusion of certain warranties or the limitation of liability for certain types of damages, so some of the above limitations may not apply to you.

6. Indemnification

You agree to indemnify, defend, and hold harmless the Platform and its officers, directors, employees, agents, affiliates, successors, and assigns from and against any and all claims, liabilities, damages, losses, costs, and expenses (including reasonable attorneys' fees) arising out of or relating to: (a) your use or misuse of the Platform; (b) your User Content; (c) your violation of these Terms; (d) your violation of any applicable law or regulation; or (e) your violation of any rights of any third party. The Platform reserves the right to assume exclusive control of the defense of any matter subject to indemnification by you, and you agree to cooperate with the Platform's defense of such claims.

7. Revisions and Errata

The materials appearing on the Platform may include technical, typographical, or photographic errors. The Platform makes no representations that any of the materials are accurate, complete, or current. The Platform may change or remove materials at any time without notice and assumes no obligation to update them.

8. Links

The Platform has not reviewed all sites linked to it and is not responsible for the contents of any such linked site. The presence of any link does not imply endorsement by the Platform. Use of any linked site is entirely at your own risk. The Platform disclaims all liability arising from your access to or use of any linked site.

9. Terms of Service Modifications

The Platform may revise these Terms of Service at any time without prior notice. Your continued use of the Platform following any changes constitutes your acceptance of the revised Terms. It is your responsibility to review these Terms periodically. If you do not agree to the revised Terms, your sole remedy is to discontinue use of the Platform.

10. Governing Law and Dispute Resolution

These Terms and any dispute arising out of or relating to them or the Platform shall be governed by and construed in accordance with the laws of the State of Delaware, without regard to its conflict of law provisions. You agree that any legal action or proceeding arising out of or relating to these Terms or the Platform shall be brought exclusively in the state or federal courts located in the State of Delaware, and you hereby irrevocably consent to the personal jurisdiction and venue of such courts. You waive any objection to the laying of venue in Delaware and waive any claim that Delaware is an inconvenient forum.

TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, YOU WAIVE YOUR RIGHT TO A JURY TRIAL IN ANY DISPUTE ARISING OUT OF OR RELATING TO THESE TERMS OR THE PLATFORM.

11. Content Policy

You may use the Platform only for lawful purposes and in accordance with our Content Policy, which is incorporated herein by reference. Violation of the Content Policy constitutes a violation of these Terms.

12. Severability and Entire Agreement

If any provision of these Terms is found to be unenforceable or invalid under applicable law, that provision shall be modified to the minimum extent necessary to make it enforceable, and the remaining provisions shall continue in full force and effect. These Terms, together with the Content Policy and any other policies incorporated by reference, constitute the entire agreement between you and the Platform with respect to your use of the Platform and supersede all prior or contemporaneous agreements, representations, and understandings.
